1. Introduction and Acceptance of Terms

These Terms of Service and Student User Agreement ("Agreement") govern access to and use of the websites, Learning Management System ("LMS"), online courses, educational resources, assessments, and related services operated by The Eagle Learning Institute, LLC ("TELI," "Institute," "Company," "we," "us," or "our").

By creating an account, purchasing a course, enrolling in educational services, accessing restricted course materials, or electronically accepting this Agreement, users agree to comply with its terms.

This Agreement establishes the general requirements for all users of TELI's educational platform, including students, instructors, and other authorized account holders, where applicable.

Students enrolling in individual courses are also subject to the terms established for those specific courses.

If a user does not agree to this Agreement, the user may not access restricted TELI services.

2. Course-Specific Terms and Regulatory Requirements

Each course offered by TELI maintains its own enrollment terms, fees, refund policies, and educational requirements.

Depending on the course, these may include:

  • Tuition and enrollment fees.
  • Course access periods and expiration dates.
  • Refund and cancellation policies.
  • Required instructional hours.
  • Attendance and participation requirements.
  • Assessment and examination procedures.
  • Passing scores and retake opportunities.
  • Makeup procedures and associated fees.
  • Identity verification requirements.
  • Examination proctoring requirements.
  • Completion and certification procedures.
  • State-specific regulatory disclosures.
  • Course cancellation contingency plans.

Students must review and accept the applicable course-specific terms before enrollment.

Regulatory Compliance

TELI provides educational services subject to requirements that may include those established by:

  • Oklahoma Real Estate Commission (OREC).
  • Texas Real Estate Commission (TREC).
  • Florida Real Estate Commission (FREC).
  • Other applicable regulatory authorities.

Mandatory regulatory requirements take precedence over conflicting contractual provisions.

The following order of precedence applies:

  1. Applicable federal and state laws.
  2. Mandatory regulatory requirements.
  3. The applicable course-specific enrollment agreement.
  4. These Master Terms of Service.

Nothing in this Agreement waives rights that cannot legally be waived.

Where an applicable course agreement contains more specific terms concerning tuition, refunds, examination procedures, or access duration, those terms govern the course, subject to mandatory law.

3. Electronic Agreements and Acceptance Records

TELI uses electronic agreements and acceptance records to establish and document student enrollment.

Students may be required to affirmatively accept:

  • These Master Terms of Service.
  • The applicable course-specific enrollment agreement.
  • The course refund and cancellation policy.
  • Academic integrity requirements.
  • Account-use and intellectual property restrictions.
  • Other legally required disclosures.

Acceptance must be affirmative. TELI will not treat a preselected checkbox or passive website browsing as acceptance of a contractual enrollment agreement.

TELI may maintain records that include:

  1. Student name and account identifier.
  2. Course identifier and enrollment information.
  3. The exact version of the Master Terms accepted.
  4. The exact course-specific agreement accepted.
  5. Date and time of acceptance.
  6. Electronic signature or affirmative acceptance event.
  7. Relevant authentication and transaction records.
  8. A preserved copy of the applicable agreement.

Where required by applicable law or regulation, electronic agreements will contain signatures from both the student and an authorized TELI representative.

TELI may use these records to administer enrollments, resolve disputes, substantiate contractual acceptance, satisfy regulatory requirements, and support lawful investigations.

4. Student Accounts and Individual Access

Each student account is intended for one authorized individual.

Account sharing, credential sharing, and unauthorized transfer of course access are prohibited.

Users may not:

  • Share usernames or passwords.
  • Permit another individual to access their course account.
  • Allow another person to complete coursework or examinations.
  • Complete coursework or examinations on behalf of another student.
  • Sell, rent, lend, sublicense, or transfer account access.
  • Circumvent security or authentication controls.
  • Establish additional accounts to evade restrictions.
  • Use automated tools to impersonate student activity.
  • Distribute purchased educational access to unauthorized individuals.

Organizations purchasing courses for multiple students must use TELI's authorized enrollment procedures. Each student must use their own individual account.

Students are responsible for reasonably securing their account credentials and promptly reporting suspected unauthorized activity.

TELI may require additional authentication when account activity suggests possible unauthorized access.

Ordinary use of multiple personal devices, shared household internet connections, or changing network locations does not independently establish an account-sharing violation.

5. Intellectual Property Ownership

TELI's educational materials and proprietary systems are protected by applicable intellectual property laws.

Protected materials may include:

  • Written course lessons and instructional explanations.
  • Recorded lectures, videos, and audio.
  • Educational presentations and graphics.
  • Original instructional resources and study guides.
  • Assessments, examinations, and question banks.
  • Proprietary answer explanations.
  • Original course organization and compilations.
  • Software, code, databases, and platform components.
  • Trademarks, logos, branding, and original designs.

Ownership remains with TELI or the applicable third-party rights holder.

Purchasing a course grants a limited, nonexclusive, nontransferable license to access its materials for authorized personal educational purposes during the applicable enrollment period.

A course purchase does not grant ownership or redistribution rights.

Unless expressly authorized in writing, users may not reproduce, republish, distribute, license, sell, or commercially exploit protected materials.

Personal study notes are permitted where consistent with course rules, but students may not reproduce or distribute protected examination questions or substantial portions of proprietary instructional materials.

Nothing in this Agreement restricts uses that applicable intellectual property law expressly permits.

6. Prohibition on Scraping and Automated Extraction

TELI expressly prohibits unauthorized extraction, harvesting, or mass reproduction of protected educational materials.

Prohibited conduct includes:

  1. Automated scraping or crawling of restricted educational content.
  2. Using scripts, bots, or browser automation to download instructional materials.
  3. Bulk extraction of instructional text, media, examinations, or answer banks.
  4. Using OCR or automated screen capture to reproduce substantial protected content.
  5. Circumventing content access restrictions, authorization checks, or technical protection measures.
  6. Accessing internal application endpoints without authorization.
  7. Manipulating requests or sessions to obtain content outside an authorized enrollment.
  8. Using account credentials for unauthorized data harvesting.
  9. Providing credentials to third parties for content extraction.
  10. Commercially reproducing TELI materials through automated or manual extraction.

TELI may use reasonable technical safeguards, rate limits, request monitoring, digital watermarks, and access controls to protect its materials.

Users who violate these restrictions may be subject to suspension, termination, or applicable legal remedies following appropriate review.

7. Artificial Intelligence and Automated Learning Restrictions

TELI's protected instructional materials may not be used without written authorization to:

  • Train or fine-tune commercial artificial intelligence models.
  • Build competing educational AI assistants.
  • Populate unauthorized commercial knowledge bases.
  • Create competing instructional datasets or applications.
  • Reproduce proprietary examinations through automated systems.
  • Automatically complete required student activities.
  • Distribute protected TELI content through AI-generated educational products.

Students may use general study assistance tools when permitted by the applicable course rules, provided the tools are not used to violate TELI's intellectual property rights or independent-work requirements.

AI-generated answers or automated assistance are prohibited during examinations requiring independent student performance unless expressly authorized.

8. Academic Integrity and Anti-Cheating

TELI maintains academic integrity standards designed to protect the validity of its educational programs.

Students must personally complete all required educational activities.

Prohibited conduct includes:

  • Identity impersonation.
  • Unauthorized collaboration during individual examinations.
  • Using prohibited answer keys or examination assistance.
  • Distributing restricted examination content.
  • Falsifying attendance or participation.
  • Using automated scripts to advance course progress.
  • Manipulating instructional timers.
  • Circumventing mandatory learning activities.
  • Submitting another person's work.
  • Providing false course-completion information.
  • Altering or falsifying educational records.

Each course's specific examination, attendance, participation, and completion requirements remain controlling.

TELI may use reasonable technology to verify independent participation and course completion.

Confirmed material violations may result in academic consequences under the investigation procedures established in this Agreement.

9. Course Requirements and Examinations

TELI administers courses according to their approved educational requirements and applicable state regulations.

Students are responsible for satisfying the requirements disclosed for their particular courses.

Depending on the course, TELI may implement:

  • Instructional sequencing.
  • Required module completion.
  • Minimum instructional time.
  • Participation validation.
  • Identity verification.
  • Randomized examination questions.
  • Examination proctoring.
  • Passing score requirements.
  • Retake restrictions.
  • Completion deadlines.

TELI will not knowingly award education credit for coursework that has not been legitimately completed.

Students acknowledge that course completion does not guarantee passage of a licensing examination, issuance of a professional license, or employment.

10. Tuition, Refunds, and Cancellation Policies

10.1 Course-Specific Policies

Each TELI course establishes its own tuition, refund, cancellation, and enrollment policies.

Students must review these policies before purchasing.

The applicable course-specific enrollment agreement governs the financial terms of the purchase, except where mandatory law provides otherwise.

10.2 General No-Refund Standard

Unless a course-specific agreement provides otherwise, or a refund is required by applicable law, TELI educational purchases are final and nonrefundable.

Digital educational products may provide immediate access to copyrighted instructional materials.

Where legally permitted and consistent with the applicable course policy, refunds are not ordinarily available for:

  • Changes of mind.
  • Failure to begin a course.
  • Voluntary withdrawal.
  • Failure to complete coursework.
  • Lack of available study time.
  • Failure to pass examinations.
  • Failure to qualify for professional licensing.
  • Expiration of a disclosed enrollment period.
  • Selecting an incorrect course.
  • Dissatisfaction that does not establish a contractual or legal refund right.
  • Termination resulting from substantiated material violations.

No provision of this policy overrides a refund required by law, governing education regulations, or an applicable course agreement.

10.3 Oklahoma — OREC

For OREC-regulated courses, TELI will follow the applicable Oklahoma Real Estate Commission requirements.

Required pre-enrollment agreements will disclose tuition, the refund policy, cancellation contingencies, attendance requirements, makeup procedures, additional fees, and applicable time limits.

Refunds will be determined under the course-specific agreement and applicable Oklahoma law.

If TELI or an individual program is independently subject to additional mandatory education refund regulations, those requirements will also apply.

10.4 Texas — TREC

For TREC-regulated courses, TELI will comply with applicable requirements under 22 Texas Administrative Code §§535.65 and 535.75.

Required pre-enrollment agreements will contain the applicable tuition, fee, refund, withdrawal, dismissal, attendance, examination, makeup, and required licensing-eligibility disclosures.

Where required, the enrollment agreement must be signed by the student and an authorized TELI representative before commencement of the course.

If TELI cancels a course covered by the applicable TREC provider-cancellation rule, TELI will fully refund the collected fees within a reasonable time or, at the student's option, provide credit toward another course.

TELI will follow applicable reporting requirements when a student requests a refund after withdrawing because of dissatisfaction with course quality.

TELI will honor statutory reimbursement obligations arising from failure to provide required criminal-history licensing disclosures.

10.5 Florida — FREC

For FREC-regulated courses, TELI will comply with applicable Florida laws, Florida Real Estate Commission rules, and approved-course requirements.

The course-specific refund policy applies except where mandatory law requires another result.

If TELI or a particular program is additionally subject to Florida Commission for Independent Education refund requirements or another mandatory regulatory framework, those requirements will govern as applicable.

10.6 Provider Cancellation and Required Refunds

If TELI cancels a course or materially fails to deliver purchased educational services, TELI will provide the remedy required by the applicable enrollment agreement and law.

Where a student has a legal right to elect a refund rather than course credit, TELI will honor that election.

Billing errors, verified duplicate charges, unauthorized transactions, and other mandatory consumer remedies will be handled according to applicable law.

10.7 Refund Requests and Disputes

Refund and billing requests may be submitted through TELI's published support channels.

Students should provide sufficient transaction information to permit review.

TELI will process requests within time frames required by applicable law and will otherwise respond within a commercially reasonable period.

Students retain all lawful rights to file consumer complaints or payment disputes.

Good-faith refund requests and lawful chargebacks do not independently constitute academic misconduct.

11. Course Access and Expiration

Each course defines its own access duration, commencement conditions, and expiration date.

Students are responsible for completing coursework within the disclosed period.

Course purchases do not provide lifetime access unless explicitly stated.

Course extensions, transfers, and reenrollments are governed by the applicable course-specific agreement.

TELI may modify or update instructional materials to maintain accuracy, provided that the purchased educational services and mandatory student rights are respected.

12. Google Analytics and Website Analytics

TELI uses Google Analytics to understand website usage, evaluate performance, identify technical issues, and improve digital services.

Google Analytics may use cookies and similar technologies to measure:

  • Website visits and page views.
  • Navigation and interaction patterns.
  • Referral and traffic sources.
  • Browser and device information.
  • Approximate geographic information.
  • Website performance and conversion activity.

Google may process information collected by its Analytics services according to its applicable terms and privacy practices.

TELI will maintain required disclosures concerning Google Analytics in its Privacy Policy.

Where applicable law requires consent, choice, or opt-out functionality for analytics technologies, TELI will provide the required mechanisms.

TELI's use of Google Analytics does not authorize disclosure of student passwords, examination answers, Social Security numbers, or other restricted student data through Analytics tracking.

Google Analytics is separate from TELI's internal educational auditing systems.

13. Internal Analytics, Account Monitoring, and Auditing

TELI operates its own internal analytics and auditing systems.

These systems monitor student account activity for educational auditing, student support, troubleshooting, security, compliance, and academic integrity purposes.

TELI may collect and maintain records including:

  • Student account identifiers.
  • Authentication activity.
  • Login and session timestamps.
  • IP addresses.
  • Browser and device characteristics.
  • Course access and navigation history.
  • Instructional progress.
  • Module completion events.
  • Assessment attempts and results.
  • Educational completion records.
  • Security alerts.
  • Unusual or potentially unauthorized activity.
  • Relevant technical events.
  • Student support interactions.

Permitted Uses

TELI may use these records to:

  1. Verify legitimate course participation.
  2. Investigate technical problems.
  3. Provide student support.
  4. Maintain accurate educational records.
  5. Verify course completion requirements.
  6. Identify possible unauthorized account sharing.
  7. Detect possible automated extraction.
  8. Investigate suspected academic dishonesty.
  9. Identify and prevent fraudulent access.
  10. Satisfy regulatory audit and recordkeeping obligations.

Student Acknowledgment

By using TELI's LMS, students acknowledge that educational and account activity within the platform may be recorded and reviewed for these legitimate purposes.

TELI may retain relevant activity records in connection with investigations, regulatory obligations, contractual disputes, and lawful recordkeeping requirements.

Monitoring is limited to TELI's authorized systems and services. This Agreement does not grant TELI unrestricted access to students' private devices, unrelated browsing activity, or personal communications.

Automated alerts or unusual activity patterns alone do not establish misconduct.

TELI will evaluate relevant evidence before imposing a permanent disciplinary sanction.

14. Privacy, Cookies, and Student Information

TELI may collect personal information necessary for account administration, course delivery, educational reporting, payment processing, security, and support.

A separate Privacy Policy will describe applicable data practices, including:

  • Categories of information collected.
  • Purposes for collection and use.
  • Cookies and analytics technologies.
  • Third-party service providers.
  • Student privacy choices and rights.
  • Applicable data retention practices.
  • Information security measures.
  • Regulatory disclosures.

Where required, TELI will obtain consent for optional tracking technologies.

Students may be able to decline nonessential analytics without disabling activity logging reasonably necessary for authentication, course administration, security, and legal compliance.

Personal information will be handled under applicable law and TELI's published Privacy Policy.

15. Academic Integrity Investigations

TELI may investigate credible allegations of academic misconduct, unauthorized account access, intellectual property theft, fraud, or other material violations.

15.1 Evidence Review

Investigations may include review of lawfully maintained LMS records, relevant authentication logs, assessment records, technical information, security events, communications, and student-provided evidence.

TELI will seek to limit investigative reviews to information reasonably related to the allegation.

15.2 Student Notification

Except where immediate protective action is justified, students will be notified before a permanent academic sanction is imposed.

Notice will identify the general allegation, applicable policy, and available response process.

Sensitive security details may be withheld when disclosure would create a legitimate risk or violate the rights of another person.

15.3 Opportunity to Respond

Students ordinarily will have five business days after notification to provide a response.

Extensions may be granted when reasonable or legally required.

15.4 Determination

An authorized TELI representative will evaluate the available evidence and document the outcome.

Disciplinary findings must be reasonably supported and will use the preponderance-of-the-evidence standard unless another standard is legally required.

15.5 Potential Consequences

Depending on the nature and severity of substantiated conduct, TELI may impose:

  • A written warning.
  • Additional identity verification.
  • Required reassessment.
  • Invalidation of improperly completed coursework.
  • Temporary account restrictions.
  • Termination for material violations.
  • Other remedies permitted by law.

Consequences will be proportionate to the substantiated violation and consistent with applicable regulatory requirements.

15.6 Student Appeals

Students may request review of a disciplinary decision within ten business days after notification.

Appeals may identify additional evidence, material factual errors, procedural errors, or disproportionate sanctions.

Where practicable, review will be conducted by an authorized representative who did not make the original determination.

TELI will endeavor to respond within fifteen business days, subject to reasonable investigation needs and any mandatory deadlines.

15.7 Regulatory Reporting

TELI will comply with applicable education reporting and record-correction obligations.

Where fraud or misconduct invalidates previously reported education credit, TELI will follow applicable regulatory procedures.

TELI will not automatically report unsubstantiated allegations as established misconduct.

15.8 Record Preservation

TELI will maintain required investigation and education records according to applicable regulatory retention periods and lawful preservation obligations.

Records may include relevant evidence, notifications, student responses, decisions, appeals, and corrective actions.

If an allegation is not substantiated or a finding is overturned, TELI will correct affected records and remove inappropriate restrictions as applicable.

16. Account Suspension and Termination

TELI may temporarily suspend or restrict account access when reasonably necessary to address credible security risks, unauthorized access, fraud, scraping, or academic integrity concerns.

Confirmed material violations may result in termination.

Where reasonably practicable, students will have an opportunity to respond before permanent academic consequences are imposed.

Termination does not eliminate mandatory refund rights or other legally protected remedies.

17. Intellectual Property Enforcement

TELI reserves the right to protect its intellectual property through lawful measures.

Unauthorized reproduction, redistribution, or commercial exploitation of protected materials may result in:

  • Requests to remove infringing content.
  • Copyright infringement notices.
  • Cease-and-desist demands.
  • Legal action seeking available injunctive relief.
  • Claims for recoverable damages and costs where legally permitted.

TELI does not impose automatic monetary penalties merely because unauthorized conduct is alleged.

Lawful independent development, competition, and uses permitted by intellectual property law remain unaffected.

18. Student Records and Regulatory Reporting

TELI maintains educational records necessary to verify enrollment, attendance, course completion, examinations, and other requirements.

Records will be maintained for the applicable regulator's required retention period.

TELI may provide educational records to OREC, TREC, FREC, or other authorized agencies when required or permitted by law.

Students are responsible for providing accurate information needed for reporting, including applicable licensing and application identifiers.

TELI may correct inaccurate records and will not knowingly submit falsified educational information.

19. Accessibility and Accommodations

TELI will comply with applicable accessibility and nondiscrimination requirements.

Students may request reasonable accommodations through TELI's published support channels.

Approved accommodations will not independently constitute evidence of academic misconduct.

20. Third-Party Services

TELI may use third-party providers to support hosting, payment processing, video delivery, analytics, identity verification, technical support, and other educational services.

Use of such providers will be governed by applicable contractual, privacy, and legal obligations.

Any additional terms required for a particular service will be disclosed as appropriate.

21. Educational Disclaimers

TELI strives to maintain accurate, current, and regulatorily compliant instructional materials.

Regulatory requirements and industry practices may change.

TELI does not guarantee professional licensing, passing examination scores, employment, or particular career outcomes.

Nothing in this section reduces TELI's obligation to provide the approved educational services purchased.

22. Limitation of Liability

To the extent permitted by applicable law, TELI will not be liable for indirect, incidental, or consequential damages arising from ordinary use of its educational services.

Any contractual limitation of liability applies only to the extent legally enforceable.

Nothing in this Agreement limits mandatory refunds, statutory remedies, or liabilities that cannot lawfully be excluded.

23. Complaints and Disputes

Students may submit complaints regarding educational services, billing, technical problems, accessibility, or academic decisions through TELI's published support channels.

TELI will review complaints in accordance with applicable policies and regulatory obligations.

Students retain the right to contact OREC, TREC, FREC, other applicable regulators, consumer-protection agencies, and courts.

This Agreement does not impose mandatory arbitration or waive legally protected complaint rights.

24. Governing Law and Severability

This Agreement is governed by Oklahoma law except where mandatory laws of another applicable jurisdiction control.

If any provision is found invalid or unenforceable, the remaining provisions remain effective to the extent permitted by law.

25. Changes to the Agreement

TELI may update these Terms of Service to reflect changes in law, educational operations, technology, or security practices.

Material changes will be communicated through appropriate notice, and additional acceptance will be obtained where required.

Revisions will not retroactively eliminate mandatory student rights.

The version applicable to a student's enrollment will be preserved in the applicable enrollment records.
